OVS Innovation & Sustainability, a subsidiary of OVS, develops and manages a strategic project structures into two areas: a technological innovation hub, which operates in collaboration with the Polytechnic University of Bari, dedicated to the development of AI projects, cybersecurity, and digital transformation; and a multifunctional center dedicated clothes recycling, which is a key element of the Group's circular economy strategy, contributing to extending the life cycle of products. 

OVS I&S is headquartered in Bari's industrial area, in a 15,000 m2 building which houses an innovative facility with a storage capacity of 15,000 pallets, 40,000 stock spaces, and 16 million reconditioned clothing items per year.

The entire process has been designed to optimize the internal flows in the center, also through the use of models based on intelligent automation technologies.

The implementation of this project, launched in 2023 and realized through the Puglia Region's Program Contract for Large Enterprises, represents a key milestone in the group's development plan for digital innovation, artificial intelligence, cybersecurity, and circular economy. The initiative not only strengthens OVS's position in the technological innovation and sustainability landscape, but also creates new opportunities for economic and employment growth in the Puglia region. Since the project's launch (January 2025), 150 people have been employed: graduates specialized in digital technology, artificial intelligence, and cybersecurity, as well as experts in garment reprocessing and in management activities of the multifunctional center.

With a total investment of 33 million euros (of which 19 million allocated to the digital sector and 14 million to the implementation of innovative systems for the circular economy), the initiative represents a benchmark for the sector.

ORGANIZATIONAL, MANAGEMENT AND CONTROL MODEL

The Organizational, Management and Control Model sets a structured and organic system of rules including organizational, procedures and control activities, to inform all those who work in the name and / or on behalf of OVS Innovazione e Sostenibilità S.r.l. on the need to align their behavior on principles of loyalty and fairness, as well as to prevent the risk of committing the crimes contemplated in the decree.

The Board of Directors on 13 April 2026 appointed Andrea Lionzo as monocratic Supervisory Body.

WHISTLEBLOWING

Pursuant to D.lgs.24/2023, OVS Innovazione e Sostenibilità S.r.l. has adopted a procedure to comply with the regulation relating to Whistleblowing and a platform to allow anyone to make reports - verbal or written - anonymously or confidentially, at the discretion of the reporter, while guaranteeing their protection against all forms of retaliation or discrimination.

The recipient of the reports is the Supervisory Body, referred to in the previous point.
